Sans Gêne does not knowingly collect, either online or offline, personal information from persons under the age of thirteen.

Prohibited activities include actions that may damage, disable, overburden, or impair the Website or interfere with any other user’s experience. You may not attempt to obtain materials or information not intentionally made available through the Website.

Product listings are invitations to make an offer and do not constitute binding offers by the Company. Orders are subject to acceptance and may be canceled or limited at our discretion.

We strive to ensure accurate product descriptions, images, and pricing but do not warrant that such information is error-free. We reserve the right to correct any errors and cancel orders affected by inaccuracies.

All purchases are governed by our Refund Policy, incorporated by reference into these Terms. Please review it prior to making a purchase.

Sans Gêne is not responsible for any loss or damage resulting from unauthorized access to your Account arising from theft, misappropriation, or your failure to adequately safeguard your credentials. If you suspect any unauthorized use or security breach of your Account, you must notify us immediately at support@sansgenestudios.com.

We reserve the right, in our sole discretion, to refuse service, terminate Accounts, remove or edit content, or cancel orders at any time and for any reason, including without limitation any violation of these Terms. 

ARTICLE IV: ORDERS AND PAYMENT

1. Order Acceptance and Limitations

All orders placed through the Website are subject to our acceptance. We reserve the right, in our sole discretion, to limit or cancel quantities purchased per person, per household, or per order. If we cancel or modify an order, we will make reasonable efforts to notify you using the contact information provided at the time of the order.

2. Pricing and Availability

Prices for Products are subject to change without notice. We reserve the right to modify or discontinue any Product or service at any time. We shall not be liable to you or any third party for any price changes, modifications, or discontinuances.

3. General Payment Terms

Before completing a purchase, you will have the opportunity to review and accept the fees to be charged. By placing an order, you agree to provide current, complete, and accurate payment and billing information. You authorize Sans Gêne to charge all fees associated with your order, including applicable taxes and shipping charges, to your designated payment method.

4. Shipping Charges and Restrictions

Shipping charges will be listed at checkout and must be paid in full. For international orders, you are responsible for any applicable customs duties, tariffs, or other local taxes and fees. Check with your local customs authorities for details.

5. Delivery

We will attempt in good faith to deliver Products in accordance with your order but are not responsible for delays or failures outside of our control. We may fulfill your order through multiple shipments at our discretion. Delivery will be made to the address you provide, and if the address is remote or inaccessible, we may not be able to complete delivery. In such cases, we reserve the right to cancel the order or reschedule delivery.

6. Authorization and Pre-Authorization

You authorize us to charge your designated payment method for the total amount of your order. We may seek pre-authorization of your credit card to confirm validity and sufficient funds before completing a transaction. If your order is placed on hold, we will contact you to resolve the issue and minimize delays.

Sans Gêne is based in the United States. We make no representation that the Service is appropriate or available for use in all jurisdictions. Access to the Service from countries or territories or by individuals where such access is illegal is prohibited.

Occasionally, a vendor may request that we restrict the sale of their brand or products to certain countries. While we prefer not to limit availability, we must honor such requests. These restrictions are reviewed periodically with our vendors for potential changes. You will be notified at checkout if an item in your cart is restricted from shipping to your country. You will not be able to complete your purchase until the restricted item is removed from your cart or your shipping address is changed.

By submitting User Content to the Service or by posting any User Content to social media using a Company-branded hashtag, you grant Sans Gêne a worldwide, non-exclusive, irrevocable, transferable, royalty-free, fully paid-up license (with the right to sublicense) to use, host, store, reproduce, display, perform, modify, adapt, and distribute such User Content, in whole or in part, in any media formats and through any media channels now known or later developed, for any business purpose consistent with our operations.

3. License Grant to Other Users

By submitting or sharing User Content through the Service, you also grant all other users of the Service a non-exclusive license to access and use such content in accordance with these Terms and the functionality of the Service.

4. User Content Representations and Warranties

You are solely responsible for your User Content. By submitting User Content, you represent and warrant that:

You understand that by using the Service, you may be exposed to User Content that is inaccurate, offensive, or otherwise objectionable. You agree to waive, and do waive, any legal or equitable right or remedy you may have against Sans Gêne with respect to User Content.

Sans Gêne may monitor any content transmitted or received through the Service to ensure compliance with these Terms or for operational purposes. However, we do not control, and are not responsible for, the actions or content of users or third parties.

By submitting content to the Website, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your content in connection with our business.

You represent that you own or have rights to your submissions. We reserve the right to remove content at our discretion.

No advice or information, whether oral or written, obtained by you from the Service or any Sans Gêne entity or any materials or content available through the Service will create any warranty regarding any of the Sans Gêne entities, Products, or the Service that is not expressly stated in these Terms. We are not responsible for any damage that may result from the Service, Products, or your dealings with any other Service user. You understand and agree that you use any portion of the Service and Products at your own discretion and risk, and that we are not responsible for any damage to your property (including your computer system or mobile device) or any loss of data, including User Content.

Limitation of Liability To the fullest extent permitted by law, in no event will Sans Gêne or any of its officers, directors, employees, consultants, affiliates, subsidiaries, or agents (collectively, the “Company Entities”) be liable to you for any indirect, incidental, special, consequential, or punitive damages (including damages for loss of profits, goodwill, or any other intangible loss) arising out of or relating to your access to or use of, or your inability to access or use, the Service or any materials or content on the Service (including claims related to our Privacy Policy or other privacy or data security claims), whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not any Company Entity has been informed of the possibility of such damage.

Except as provided in Section 19.4 and to the fullest extent permitted by law, the aggregate liability of the Company Entities to you for all claims arising out of or relating to the use of or any inability to use any portion of the Service, Products, or otherwise under these Terms or your use of the Service (including claims related to our Privacy Policy or other privacy or data security claims), whether in contract, tort, or otherwise, is limited to the greater of: (a) the amount you have paid to Sans Gêne for Products or access to and use of the Service in the one (1) month prior to the event or circumstance giving rise to the claim; or (b) $100.

Each provision of these Terms that provides for a limitation of liability, disclaimer of warranties, or exclusion of damages is intended to and does allocate the risks between the parties under these Terms. This allocation is an essential element of the basis of the bargain between the parties. Each of these provisions is severable and independent of all other provisions of these Terms. The limitations in this Section 17 will apply even if any limited remedy fails of its essential purpose.

ARTICLE XIII: INDEMNIFICATION

To the fullest extent permitted by law, you are responsible for your use of the Service and Products, and you will defend and indemnify Sans Gêne and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents (together, the "Company Entities") from and against every claim brought by a third party, and any related liability, damage, loss, and expense, including reasonable attorneys’ fees and costs, arising out of or connected with: (a) your unauthorized use of, or misuse of, the Service; (b) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your violation of any third party right, including any intellectual property right or publicity, confidentiality, other property, or privacy right; or (d) any dispute or issue between you and any third party.

Sans Gêne reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of these claims. This indemnification obligation will survive the termination or expiration of these Terms and your use of the Website or Service. agree to indemnify and hold harmless Sans Gêne and its affiliates from any claims or damages arising out of your use of the Website or breach of these Terms.

ARTICLE XIV: ARBITRATION AND CLASS ACTION WAIVER

All disputes shall be resolved by binding arbitration in accordance with the Federal Arbitration Act and administered by the American Arbitration Association.

Arbitration will be conducted on an individual basis. You waive any right to participate in class actions or representative proceedings.

ARTICLE XV: GOVERNING LAW

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in Texas.

These Terms and any other agreements expressly incorporated by reference constitute the entire and exclusive understanding and agreement between you and Sans Gêne regarding your use of the Website and purchase of Products.

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent, and any attempt to do so without such consent will be null and void. We may assign these Terms without restriction.

The failure to require performance of any provision will not affect our right to require performance at any time thereafter. Waivers must be in writing and signed by an authorized representative. Use of section headers is for convenience only and shall not affect the interpretation of any provision.

If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect. The term “including” means “including but not limited to.
